Rodinia Technologies (“we,” “our,” “us”) welcomes you. These Terms and Conditions (“Terms”) govern your use of our software products, services, websites, mobile applications, and any related content or materials. By accessing or using our offerings, you agree to be bound by these Terms. If you do not agree, please discontinue use immediately.

1. Scope and Acceptance

These Terms apply to all users, clients, and visitors of Rodinia Technologies’ products and services, including enterprise software, custom development, consulting, and digital solutions. Specific agreements—such as licensing, service-level, or project contracts—may supplement these Terms. In case of conflict, the specific agreement will prevail.

2. Services and Products

Rodinia Technologies provides proprietary software products, SaaS platforms, and IT services including design, development, implementation, maintenance, and consultation. We reserve the right to modify, suspend, or discontinue any product or service at any time without prior notice, provided such changes do not breach existing client agreements.

3. Account Registration and Security

  • Users may be required to create an account to access certain products or services.
  • You must provide accurate, complete, and updated information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.
  • Rodinia Technologies will not be liable for loss or damage arising from unauthorized access due to your failure to safeguard credentials.

4. License and Usage Rights

  • Software products provided by Rodinia Technologies are licensed, not sold. The license granted is non-exclusive, non-transferable, and limited to internal business use.
  • You must not copy, modify, resell, reverse engineer, or create derivative works from any software or documentation.
  • Use of our software must comply with applicable laws and any usage limits specified in the agreement or product documentation.

5. Client Responsibilities

Clients engaging with Rodinia Technologies for services agree to:

  • Provide necessary information, materials, or access required for project execution.
  • Review and approve deliverables promptly to avoid unnecessary delays.
  • Pay all agreed fees as per the terms of the service contract or purchase order.
  • Ensure that use of deliverables complies with all applicable laws and regulations.

6. Payment Terms

  • All payments must be made in accordance with agreed invoices or proposals.
  • Unless otherwise stated, payments are due within 15–30 days of invoice issuance.
  • Delayed payments may attract interest at the rate permitted by law.
  • Taxes, transaction fees, and duties are the client’s responsibility unless otherwise agreed in writing.

7. Intellectual Property Rights

  • All software, code, designs, documentation, and related materials developed by or for Rodinia Technologies remain its intellectual property unless expressly transferred by contract.
  • Custom deliverables commissioned under a client service agreement may include client-specific rights as defined in that agreement.
  • The client retains ownership of its pre-existing data, trademarks, and proprietary information shared during engagement.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding proprietary information disclosed during the business relationship. This includes trade secrets, project data, or technical details. Information will not be shared with third parties except as required to fulfill obligations under these Terms or by law.

9. Privacy and Data Protection

Rodinia Technologies processes user and client information in accordance with its Privacy Policy. By using our website or services, you consent to such processing and confirm that all data provided is accurate.

10. Third-Party Integrations

Certain Rodinia Technologies offerings may integrate with third-party APIs, tools, or payment gateways. We do not control or endorse such third-party services and assume no liability for their actions, performance, or policies. Use of such integrations is at your own risk.

11. Warranties and Disclaimers

  • Rodinia Technologies provides its products and services on an “as-is” and “as-available” basis.
  • We do not guarantee uninterrupted access, error-free performance, or absolute security.
  • While we strive to deliver accurate and reliable products, we disclaim all warranties—express or implied—related to merchantability, fitness for purpose, or non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Rodinia Technologies shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunities, arising from use or inability to use our products or services. Total aggregate liability shall not exceed the amount paid by the client during the previous twelve months under the applicable contract.

13. Indemnification

You agree to indemnify and hold harmless Rodinia Technologies, its directors, employees, and partners from any claims, damages, or expenses arising from your misuse of our products, breach of these Terms, or violation of applicable laws.

14. Termination

Rodinia Technologies may terminate or suspend access to its products or services if users violate these Terms or engage in unlawful or harmful activities. Upon termination, all licenses and user rights will cease immediately. Outstanding payment obligations and confidentiality clauses will survive termination.

15. Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of Chennai, Tamilnadu, India. Disputes will be subject exclusively to the courts of Chennai Jurisdiction. Nothing prevents either party from seeking interim injunctive relief.

16. Changes to Terms

Rodinia Technologies reserves the right to modify or update these Terms at any time. Users will be notified of major revisions via website notice or email. Continued use of our products or services indicates acceptance of the updated Terms.
